P.O. Terms and Conditions
1. Customer Right of Inspection
Bryant Machine and their customer and regulatory authorities has the right of access by the organization to the applicable areas of all facilities, at any level of the supply chain involved in the order and to all applicable records.
2. Certification / Prevention of Counterfeit Parts
Supplier shall sign and certify that all parts, material and processes were inspected and found to comply with the requirements of this order. The revision level that processes were completed must be listed on any documentation. Certifications must accompany product delivery. Bryant Machine reserves the right to refuse delivery of any shipment without applicable certifications. Delivery will not be complete until appropriate certification is received. (Suspect) Counterfeit Parts are not allowed.
3. Processes / Part Revision
All processes, parts, drawings, specifications, etc. listed on this purchase order shall be done per latest revision unless stated otherwise per the purchase order.
4. Traceability
Traceability must be maintained for all work done on this purchase order. This includes lot, batch, and heat #s of material used for processes and the revision level of the process used for this PO. Material certs are required for materials used in fabrication.
5. Records Retention
Any records made while processing this purchase order not sent to Bryant Machine must be kept safe and accessible. Records shall be kept a minimum of 10 years unless otherwise stated and then destroyed via deletion or shredding.
6. Authorized Markings
Only markings listed on the drawing and parts list are allowed directly on parts, including acceptance and date stamps.
7. Change in Process
Supplier must notify Bryant Machine of changes in product and/or process, changes of suppliers, manufacturing facility location, and, where required, obtain Bryant Machine approval.
8. Verification & Bryant Machinedation (Test) Acceptance
Supplier, where appropriate agrees to requirements for design, test, inspection, verification, use of statistical techniques for product acceptance, and related instructions for acceptance on PO, and as applicable critical key items/key characteristics.
9. Test Specimens
Supplier, where appropriate, agrees to PO requirements for test specimens for design approval inspection/verification, investigation or auditing.
10. Shelf Life
Data shall be provided for item or materials which are susceptible to degradation with age. Supplier shall provide a signed statement with shelf life, starting date, and expiration date and storage requirements. Shelf-life limited items shall have 75% or more of their shelf life remaining at time of the delivery to Bryant Machine.
11. Identification
At a minimum, all items including raw material supplied on the Bryant Machine PO will be identified on supplier's paperwork with the part name and #, as specified on the PO. The identification and revision status of specifications, drawings, process requirements, inspection/verification instructions and other relevant technical data must be included.
12. Shipping
Materials shall be packaged, handled and transported in a way to ensure the quality of material/part, and that damage, deterioration and loss in transit are prevented.
13. Corrective Action
Supplier shall, upon request, provide statements of corrective action on nonconforming material/parts. Corrective action may require approval signatures by Bryant Machine and customer/regulatory representatives.
14. Material Substitutions Prohibited
Unauthorized material substitutions are not permitted. This includes any deviation of form, size, shape, chemistry, melt method, origin, temper/condition, product testing or surface finish. Conversion of raw material (i.e., heat treat to change temper or condition) constitutes material substitution. Raw material must not be re-certified with respect to thickness, diameter, and width or cross-sectional area or product form. Certification for material shall reflect the form and size originally manufactured.
15. National Defense Rated Orders
If orders are Rated/certified for national defense, emergency preparedness and/or energy programs, the supplier shall follow all the requirements of the defense priorities and allocation system regulation (15CFR700).
16. Flow-down Requirements
The supplier must flow down the supply chain the applicable requirements including customer requirements.
17. Nonconforming Product
Supplier must notify Bryant Machine of nonconforming product within 24 hours of discovery and obtain Bryant Machine approval for nonconforming product disposition.
18. QMS Requirements
Supplier shall implement and maintain a Quality Management System, preferably compliant to at least ISO 9001, unless otherwise called out on the Purchase Order.
19. Designated Approved Eternal Providers
When required, only customer-designated or approved suppliers will be used.
20. Awareness for Employees
Supplier ensures employees are aware of their contribution toward: (a) Product/Service Conformity, (b) Product Safety, (c) importance of ethical behavior, and (d) FOD prevention.
21. Calibration Vendors
Calibration of tools is to be at a a) 12-months interval or as defined in the calibration register at Bryant Machine (available upon request), b) to manufacturing specification unless otherwise stated within the purchase order, and c) calibration must be NIST traceable.
22. ITAR (Military Statement)
Documents and data supplied by Bryant Machine may contain technical data within the definition of the International Traffic and Arms Regulations (ITAR) and is subject to the Export Control Laws of the U.S. Government. Transfer of this data by any means to a foreign person or foreign entity, whether in the United States or abroad, without an export license, ITAR exemption, or other approval from the U.S. Department of State is prohibited.
23. Schedule and Delivery; Notice of Delay
Supplier shall strictly adhere to all Purchase Order schedules. Time is and shall remain of the essence in the performance of this Contract. Supplier shall notify Bryant Machine, in writing, immediately or any actual or potential delay to the performance of this Contract. Such notice shall include a revised schedule.
24. Force Majeure
The obligations of both parties under this agreement are subject to any delays or cancellations caused by any condition or occurrence beyond the control of the performing part, including but not limited to strikes, fires, riots, wars, acts of God, inability to obtain materials, or intervening government regulations.
25. Defective Product
Supplier must guarantee a return for all defective products. a) Goods rejected by Bryant Machine for whatever reason shall be held, transported, and/or stored at Supplier's sole expense. Supplier shall promptly reimburse Bryant Machine for any such expenses. b) Supplier is 100% responsible for all monetary and/or rework costs associated with product failures in addition to any further cost whatsoever associated with product failures. c) If suspect parts/counterfeit parts are furnished under this agreement such parts shall be impounded by Bryant Machine. Bryant Machine may provide a sample batch Supplier by verification and authentication. In addition, Bryant Machine reserves the right to send such items to the appropriate manufacturer and appropriate authorities for investigation. d) Supplier shall be liable for all costs relating to impound, investigation, removal, or replacement of suspect/counterfeit parts.
26. Purchase Order Confirmation
This order must be confirmed. Purchase order is not effective until Bryant Machine receives a copy executed and signed by an authorized representative acknowledging the terms and conditions of this order. Shipment of merchandise also implies acceptance of the terms and conditions of this purchase order as well as the noted quality clauses.
